ETAssist | TERMS & CONDITIONS

These Terms & Conditions (“Terms”) constitute a legally binding agreement between the user (“User”, “you” or “your”) and the operator of ETAssist (“ETAssist”, “ETAssist”, “we”, “us” or “our”) in respect of the website, web application, digital resources, Token-based access and related services available at getetassist.com (collectively, the “Service”).

1 Acceptance and Contract Formation

By creating an Account, accessing the Service after being presented with these Terms, purchasing Tokens, or using any paid or restricted feature, you agree to these Terms. Where the website presents a click-wrap or checkbox acceptance mechanism, you must affirmatively accept the Terms before the relevant transaction or Account activation is completed. You should not use the Service if you do not agree to the Terms.

A record of the Terms version accepted at the time of Account creation and each Token purchase may be maintained by ETAssist for contractual, support, dispute-resolution, security and legal purposes.

2 Eligibility

The Service is intended for teachers, educators and educational institutions. You must be at least eighteen (18) years of age and legally capable of entering into a binding contract under applicable law. The Service is not directed to children. An institution purchasing or using the Service must ensure that the individual acting on its behalf has authority to do so.

3 Definitions

“Account” means the user account created or authenticated for access to the Service.

“Credits” or “Tokens” means prepaid digital usage credits purchased through ETAssist and credited to a specified Account for use only with eligible ETAssist functionality. Tokens are not currency, a deposit, bank balance, security, investment product, or payment instrument, and confer no right to cash redemption except where mandatory law requires otherwise.

“Educational Content” means lesson plans, worksheets, teaching aids, teaching manuals, educational text, questions, activities, explanations, templates and other educational material generated, provided or made available through the Service.

“Third-Party Provider” means an external provider used for authentication, payment processing, hosting, infrastructure, AI/model services, communications, security, storage or other technical functions.

“Order” means a Token purchase confirmed by ETAssist or its payment provider.

4 Account Registration and Security

You must provide accurate information and promptly update information that becomes materially inaccurate. You must not create or use an Account with false credentials, impersonate another person or institution, use another person’s Account without authorisation, or share Account credentials in a manner that undermines security or access controls.

You are responsible for safeguarding credentials and for activity conducted through your Account, except to the extent applicable law provides otherwise. You must promptly notify ETAssist of suspected unauthorised access, credential compromise, duplicate Account creation or suspicious activity. ETAssist may require identity or transaction verification before restoring access or processing sensitive account requests.

5 Description of Service

ETAssist provides digital educational tools and resources, which may include lesson-plan generation, worksheet generation, teaching-aid generation, teaching-manual generation, educational templates, AI-assisted content generation and related features. ETAssist may introduce, modify, suspend or discontinue features for maintenance, security, development, operational or legal reasons, subject to applicable law and any rights already accrued by the User.

6 Educational Service Selections

Users may select predefined educational information such as Class, Subject, Chapter, Page Range and other service options. The Service currently uses ETAssist’s own educational/content database to identify relevant information and generate requested outputs. Users are not currently required to upload their own textbooks for the teaching-manual process.

7 Tokens – Nature and Use

Tokens grant access to specified ETAssist functionality and have no stand-alone monetary value. Tokens are personal to the Account, are non-transferable, non-refundable except as stated in these Terms or required by law, cannot be gifted or sold, cannot be exchanged for cash, and cannot be redeemed outside the Service.

Tokens must be used only through authorised ETAssist interfaces. Any attempted sale, transfer, pooling, barter, resale, or other unauthorised disposition of Tokens is void to the maximum extent permitted by law and may result in suspension or cancellation of the affected Tokens and/or Account.

8 Token Packages and Pricing

Prices and packages may be changed prospectively. The price and Token quantity displayed immediately before an Order is submitted will govern that Order. Any tax or mandatory charge that is applicable must be shown at checkout as required by law.

9 Token Purchase, Credit and Deduction

Tokens are credited after successful payment confirmation and account-level reconciliation. The User is responsible for selecting the correct Account before payment. A Token is considered consumed only in accordance with the Service’s disclosed credit-deduction logic.

If a Token is deducted because an ETAssist-side technical failure prevents delivery of the requested service output, ETAssist may restore the deducted Token or otherwise correct the balance. This technical remedy does not create a general refund right for dissatisfaction with content, changes of mind or non-use of correctly delivered Tokens.

10 Unused Tokens

Unless expressly stated otherwise for a particular package, unused Tokens do not expire. They remain associated with the Account to which they were credited. Account closure or deletion does not itself create a right to cash redemption or refund of validly purchased, unused Tokens, except where required by applicable law or where ETAssist expressly offers a refund or migration arrangement.

ETAssist may suspend or cancel Tokens where they were obtained or used through fraud, chargeback abuse, technical exploitation, unauthorised access or material breach, subject to applicable law and fair investigation.

11 Refunds, Cancellations and Payment Errors

All Token purchases are intended to be final because Tokens provide immediate access to digital functionality. Accordingly, no cancellation or refund will ordinarily be provided solely because a User changes their mind, no longer requires the Service, fails to use the Tokens, buys more Tokens than required, or is dissatisfied with a generated result that was successfully delivered.

A refund, reversal or Token restoration may be considered where a verified technical failure, system error, payment-gateway anomaly, duplicate charge or failed delivery results in the User being charged without receiving the corresponding benefit, or otherwise creates an erroneous transaction. Where an erroneous charge is verified and no corresponding Tokens were successfully delivered or used, the erroneous amount will ordinarily be refunded or reversed in full, subject to payment-system procedures.

Nothing in these Terms limits or excludes any consumer right, statutory remedy, refund right, warranty, or liability that cannot lawfully be limited or excluded.

12 AI-Generated Content and Quality

ETAssist may use artificial intelligence, machine-learning systems and automated technologies. Educational Content may contain factual, curricular, contextual, formatting, language, age-appropriateness or other errors. ETAssist does not warrant that any output is accurate, complete, current, unique, suitable for a particular curriculum, or fit for a particular teaching objective.

The User must review and, where appropriate, independently verify Educational Content before classroom use, publication, distribution to students, or reliance for specialised subject matter. Educational Content is an educational aid and not a substitute for professional judgment.

To the maximum extent permitted by law, ETAssist does not warrant that generated content is free from third-party rights claims, plagiarism allegations or copyright restrictions. Users remain responsible for lawful downstream use. ETAssist does not knowingly grant rights in third-party material that it does not own or control.

13 Intellectual Property and Licence

ETAssist and its licensors retain all rights, title and interest in the Service, software, platform design, branding, proprietary databases, database structure and organisation, templates, proprietary materials, technology and other materials owned or controlled by them, subject to rights that cannot lawfully be excluded.

To the extent ETAssist owns or controls rights in Educational Content, ETAssist grants the User a limited, non-exclusive, non-transferable, revocable licence to use that content for the User’s own educational and classroom teaching purposes, including printing for the User’s students and adapting it for ordinary teaching activities.

This licence does not permit resale, sublicensing, public commercial distribution, commercial repackaging, use as a competing content library, or distribution of ETAssist-owned downloadable materials outside the permitted educational purpose. Nothing in these Terms transfers ownership of the Service or underlying proprietary materials.

Because some content may be generated with automated systems, ETAssist does not guarantee that every element is copyrightable or exclusively owned by ETAssist. Where no enforceable ETAssist right exists in a particular output element, this licence does not create a right that ETAssist does not have.

14 Third-Party Material and Textbook-Related Content

The Service may refer to educational topics, curricula or content structures that correspond to third-party educational materials. Unless expressly stated, ETAssist does not represent that it owns third-party textbooks, publishers’ content, trademarks or other third-party intellectual property. Users receive no licence to reproduce or commercially distribute third-party works merely because an ETAssist output references or resembles subject matter from them.

15 Prohibited Conduct

Without limitation, you must not: (a) sell, rent, sublicense or commercially exploit Tokens or ETAssist-owned Educational Content; (b) scrape, harvest, crawl or systematically copy Service content; (c) use bots or automation except through an interface expressly authorised by ETAssist; (d) circumvent rate limits, access controls, security features or Token accounting; (e) reverse engineer the Service except to the limited extent non-excludable under law; (f) introduce malware or harmful code; (g) interfere with availability or security; (h) impersonate another person or institution; (i) use the Service for unlawful, fraudulent, abusive or deceptive purposes; (j) upload material that you do not have the right to use; or (k) use the Service to build a directly competing automated content-generation service through unauthorised extraction or systematic use.

16 User Content and Authority

If the Service permits any user-supplied text or information, the User represents that the User has the right and lawful authority to submit it for processing and that doing so does not violate confidentiality, privacy, contractual, copyright or other third-party rights. The User must not knowingly submit unnecessary sensitive personal information about students or other individuals.

17 Third-Party Services and Payments

ETAssist may use third parties for Google authentication, Razorpay and/or Cashfree payment processing, hosting, infrastructure, AI/model services, storage, email/SMS, monitoring and security. ETAssist does not ordinarily store complete card or payment-instrument details on its own servers. Payment processing may be subject to the third party’s terms and privacy practices.

ETAssist remains responsible for its own obligations under applicable law and does not use the presence of a third-party provider as a blanket exclusion of legal responsibility.

18 Service Availability and Force Majeure

The Service is provided on an “as available” basis. Temporary interruption may arise from maintenance, software updates, infrastructure failures, security incidents, payment-provider outages, internet failures or events beyond reasonable control. ETAssist will take reasonable steps to restore affected functionality but does not guarantee uninterrupted availability.

ETAssist is not responsible for delay or non-performance caused solely by events beyond its reasonable control, including natural disasters, war, governmental action, widespread internet or telecommunications failure, or third-party infrastructure outages, subject always to mandatory law.

19 Suspension and Termination

ETAssist may restrict or suspend access where reasonably necessary to investigate fraud, protect security, address abuse, prevent unauthorised access, comply with law, or respond to a material breach. Where reasonably practicable, notice will be given unless immediate action is reasonably necessary.

If an Account is terminated for User breach, ETAssist may cancel access to the Service and any Tokens implicated in the breach to the extent permitted by law. If ETAssist permanently discontinues the Token service for reasons unrelated to User misconduct, any treatment of unused Tokens will be determined in accordance with applicable law and any valid discontinuation arrangement communicated to affected Users.

20 Disclaimers

Except where expressly stated or required by law, ETAssist does not warrant that the Service or Educational Content will be uninterrupted, error-free, secure, complete, accurate, current, unique, compatible with every device or curriculum, or suitable for every classroom or educational purpose. Nothing in this section excludes a mandatory warranty or legal guarantee that cannot be excluded.

21 Limitation of Liability

To the maximum extent permitted by applicable law, ETAssist shall not be liable for indirect, incidental, special, exemplary or consequential loss, loss of profits, loss of revenue, loss of goodwill, loss of anticipated savings, or loss arising from a User’s failure to review Educational Content before use.

Subject to non-excludable liability, ETAssist’s aggregate liability arising from a paid Service shall not exceed the amount actually paid by the User to ETAssist for the specific affected Service during the twelve (12) months preceding the event giving rise to the claim. If no amount was paid for the affected Service, ETAssist’s aggregate contractual liability shall be limited to INR 1,000, subject to applicable law.

Nothing in these Terms limits liability to the extent such limitation is prohibited by law, including applicable liability for fraud, wilful misconduct, or other non-excludable matters.

22 Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless ETAssist and its personnel from third-party claims, losses, liabilities and reasonable costs directly arising from your fraud, unlawful use of the Service, unauthorised Account use, infringement of third-party rights through material you submitted, or material breach of these Terms. This indemnity does not apply to the extent a claim is caused by ETAssist’s own non-excludable wrongdoing or liability.

23 Consumer and Statutory Rights

Nothing in these Terms is intended to exclude, waive or reduce consumer rights, statutory remedies, jurisdictional rights, data-protection rights or other legal entitlements that cannot lawfully be excluded. Where a contractual provision conflicts with a mandatory law, the mandatory law prevails to the extent of the conflict.

24 Changes to the Terms

ETAssist may amend these Terms prospectively. Material changes will be published with a revised effective date and, where reasonably appropriate, additional notice. Changes will not retrospectively remove accrued statutory rights or rewrite completed transactions. Continued use after the effective date may constitute acceptance to the extent permitted by law. Where a law requires fresh consent, ETAssist will obtain it.

25 Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to mandatory consumer-protection law, statutory jurisdiction and the authority of competent regulators or commissions, contractual disputes shall be subject to the jurisdiction of competent courts in Kerala, India. Nothing prevents a consumer from invoking any forum or authority having jurisdiction under applicable law.

26 Severability, Waiver, Entire Agreement and Assignment

If any provision is held invalid or unenforceable, it shall be modified or severed to the minimum extent necessary and the remaining provisions shall continue. Failure to enforce a provision is not a waiver of future enforcement. These Terms, together with the incorporated policies and transaction-specific disclosures presented to the User, form the agreement concerning the Service. You may not assign or transfer your Account or contractual rights without ETAssist’s written consent. ETAssist may assign or transfer its rights and obligations to a successor or affiliate in connection with a restructuring, sale or business transfer, subject to applicable law.

27 Electronic Communications

The User consents to receiving transactional, security, service and legal notices electronically through email, the website, Account notices or other reasonable electronic means. Electronic records may be retained as evidence of transactions and communications subject to applicable law.

Complaints will be acknowledged within 48 hours and redressed within 30 days, unless a shorter or otherwise different mandatory period applies under applicable law. Any mandatory period will prevail.
